1. Acceptance of Terms

By accessing or using ProctorGhost ("the Software", "the Service", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Software.

We reserve the right to modify these Terms at any time. Your continued use of the Software after any changes constitutes acceptance of the modified Terms.

2. Description of Service

ProctorGhost is a study assistance application that provides AI-powered help and features designed to operate alongside certification exam proctoring software. The Software is intended for IT certification exam preparation and assistance purposes.

We do not guarantee that the Software will work with all proctoring systems, browsers, or certification provider configurations. Compatibility may vary based on the specific certification exam platform (Pearson VUE OnVUE, Prometric, PSI, etc.).

3. User Responsibilities and Acceptable Use

You are solely responsible for:

  • Compliance with all applicable laws, regulations, and certification body policies
  • Understanding and adhering to certification provider policies (CompTIA, AWS, Microsoft, Cisco, etc.)
  • Ensuring your use of the Software does not violate any agreements, contracts, or terms of service with certification providers
  • The consequences of your use of the Software, including any certification revocation, legal, or disciplinary actions

You agree NOT to:

  • Use the Software in any way that violates certification provider policies or exam integrity rules
  • Use the Software to commit fraud, cheat, or engage in exam misconduct
  • Reverse engineer, decompile, or attempt to extract the source code of the Software
  • Resell, redistribute, or share your account with others
  • Use the Software for any illegal purpose
  • Interfere with or disrupt the Software or servers connected to the Software

4. Age Requirements

You must be at least 18 years old to use ProctorGhost. By using the Software, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.

5. Certification Exam Integrity Disclaimer

IMPORTANT: ProctorGhost is provided as a study assistance tool. We do not condone, encourage, or facilitate exam misconduct, cheating, or violation of certification provider policies.

Users are solely responsible for ensuring their use of the Software complies with:

  • Certification provider policies (CompTIA, AWS, Microsoft, Cisco, ISC2, etc.)
  • Exam-specific rules and requirements
  • Any agreements signed with proctoring service providers (Pearson VUE, Prometric, PSI, etc.)
  • Applicable laws and regulations

We are not responsible for any certification revocation, legal, or disciplinary consequences resulting from your use of the Software. Use of the Software may violate certification provider policies, and you assume all risks associated with such use.

6. Subscription and Payment

Subscription Terms:

  • Subscriptions are billed monthly in advance
  • You may cancel your subscription at any time
  • Cancellation takes effect at the end of your current billing period
  • No refunds are provided for partial billing periods

Refund Policy:

We offer a 100% money-back guarantee if ProctorGhost does not work with your certification exam's proctoring system (Pearson VUE OnVUE, Prometric, PSI, etc.). Refund requests must be made within 7 days of purchase and are subject to verification.

All payments are processed through Stripe. By subscribing, you agree to Stripe's terms of service and privacy policy.

7. No Warranty

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Compatibility with any specific proctoring software or system
  • Uninterrupted or error-free operation

We do not warrant that the Software will meet your requirements, be available at all times, or be free from errors, viruses, or other harmful components.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROCTORGHOST AND ITS OWNERS, OPERATORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Certification revocation, exam failure, or disciplinary actions by certification providers
  • Legal consequences resulting from use of the Software
  • Any damages exceeding the amount you paid for the Software in the 12 months preceding the claim

You acknowledge that you use the Software at your own risk and that you are solely responsible for any consequences arising from such use.

9. Indemnification

You agree to indemnify, defend, and hold harmless ProctorGhost and its owners, operators, employees, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Software, violation of these Terms, or violation of any rights of another party.

10. Intellectual Property

The Software, including all content, features, functionality, and design, is owned by ProctorGhost and is protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the Software for personal, non-commercial purposes in accordance with these Terms. You may not copy, modify, distribute, sell, or lease any part of the Software.

11. Termination

We reserve the right to suspend or terminate your access to the Software at any time, with or without cause or notice, for any reason, including:

  • Violation of these Terms
  • Non-payment of subscription fees
  • Fraudulent or illegal activity
  • Any use that we determine, in our sole discretion, is harmful to our business or other users

Upon termination, your right to use the Software will immediately cease. We are not obligated to provide refunds or compensation upon termination.

12. Privacy

Your use of the Software is also governed by our Privacy Policy. By using the Software, you consent to the collection and use of information as described in the Privacy Policy.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which ProctorGhost operates, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Software shall be resolved in the appropriate courts of that jurisdiction.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Terms constitute the entire agreement between you and ProctorGhost regarding the use of the Software and supersede all prior agreements and understandings.
